Unilabs Holdings SA

Initiated the transaction, assisted in the negotiations, and acted as adviser to Unilabs Holdings SA in a private placement of shares for CHF 20 million with a subsidiary of Swiss Bank Corporation.

UniLabs Holding SA was a Swiss company active in medical diagnostics and headquartered in Geneva. It specialised in reproductive medicine, cellular pathology, medical imaging, drug development, centralised companion diagnostics and laboratory medicine. BCP’s Chairman initiated and advised on the acquisition from MetPath Laboratories Inc.,USA, prior to funding.

After UniLabs acquisition it needed to raise additional capital in order to pursue its growth and expansion plans.

BCP was engaged to arrange the fund-raising of UniLabs Holding SA, and identified and approached several investors. It assisted the company during the negotiations and acted as its financial adviser.

BCP successfully advised on the raise of CHF 20 million of equity through a private placement, at a company valuation in excess of four times the one achieved during the previous buy-out.
